SFB Wholesale Terms and Agreement

1. Acceptance and eligibility

These Wholesale Terms and Agreement (the "Terms") govern your purchase of products from Sweet Feet and Beak ("SFB") for resale. By submitting a wholesale application or placing a wholesale order, you agree to these Terms.

The SFB wholesale program is intended for legitimately operating businesses that resell to end consumers through brick-and-mortar retail, specialty shops, vet clinics, breeders, groomers, or curated online retailers. SFB does not approve applicants whose business model is primarily based on reselling SFB products at a discount or whose website directly competes with SFB's direct-to-consumer channel. SFB reserves the right to approve or deny any wholesale application at its sole discretion, with or without explanation.

2. Application and approval

Wholesale accounts require a completed application and SFB approval. Applicants must provide accurate business information and upload a valid business license or resale certificate. SFB may request additional documentation at any time. Approval is not guaranteed, and SFB may revoke wholesale status at any time.

3. Pricing and minimum advertised price

Wholesale pricing is shown on your account once approved and logged in. Wholesale prices are confidential and may not be shared publicly.

The minimum advertised price for SFB products is the current direct-to-consumer price as listed on the SFB website at the time of advertising. Wholesale customers may not advertise SFB products below this price in any public-facing channel, including their own website product pages, search ads, social media ads and posts, email marketing, marketplace listings, comparison shopping engines, affiliate sites, print materials, or in-store signage.

This is not a resale price agreement. Wholesale customers are free to sell SFB products at any price they choose at the point of sale, including below the minimum advertised price in private transactions. This Section applies only to advertised prices in public channels.

SFB sets and enforces this minimum advertised price unilaterally. SFB does not seek and will not accept any agreement from wholesale customers regarding advertised prices. Continued purchase by a wholesale customer does not constitute an agreement to this Section.

4. Channel restrictions

Wholesale customers may not list, sell, or advertise SFB products on Amazon, eBay, Walmart Marketplace, Etsy, AliExpress, Temu, Shein, Wish, or any other third-party online marketplace, regardless of seller name or storefront identity.

Wholesale customers may not sell SFB products through drop-ship arrangements with parties who would themselves be ineligible under these Terms, and may not allow third parties to use their wholesale account to acquire SFB products for resale.

Wholesale customers may sell SFB products on their own retail website, provided that the website is a legitimate retail business that meets the eligibility criteria in Section 1 and complies with Section 3.

SFB may, at its sole discretion, grant written exceptions to these channel restrictions on a case-by-case basis.

5. Minimum order requirements

The minimum opening order for new wholesale customers is $300. The minimum on all subsequent orders is $150. Customers who have previously placed a wholesale order with SFB are exempt from the $300 opening order minimum and may order at the $150 minimum from any subsequent order. SFB reserves the right to change minimums at any time. Orders below the minimum may be rejected or canceled.

6. Payment terms

Payment is due in full at the time of order, unless SFB has issued written net terms in advance. Accepted payment methods are listed at checkout. SFB reserves the right to refuse or cancel any order. Past-due accounts may be suspended.

7. Shipping and delivery

Orders are shipped via SFB's selected carriers unless otherwise arranged in writing. Shipping costs are calculated at checkout. Estimated delivery times are not guaranteed. Title and risk of loss pass to the buyer upon the carrier's possession of the goods.

8. Inspection, damages, and returns

Inspect all shipments within 7 days of receipt. Report damages, shortages, or incorrect items in writing to info@sweetfeetandbeak.com within that window. Claims made after 7 days may not be honored. All wholesale sales are final unless SFB authorizes a return in writing. Authorized returns must be in original condition and original packaging.

9. Reseller obligations

Wholesale customers agree to:

• present SFB products accurately and consistently with our brand;
• maintain a professional retail environment, whether physical or online;
• not repackage, alter, or relabel SFB products without written permission;
• not sell SFB products to other resellers or unauthorized distributors;
• not export SFB products outside the country of purchase without written permission from SFB.

10. Trademarks and intellectual property

SFB grants a limited, non-exclusive, non-transferable, revocable license to use SFB trademarks and product images solely for the purpose of marketing and selling SFB products you have purchased. All SFB trademarks, copyrights, product designs, and brand assets remain the exclusive property of SFB. This license terminates immediately if your wholesale account is terminated or suspended.

11. Confidentiality

Wholesale pricing, terms, and any non-public information shared by SFB are confidential. You agree not to share this information with competitors, the public, or other resellers.

12. Enforcement

SFB monitors compliance with these Terms, including pricing and channel restrictions. SFB may, at its sole discretion and without prior notice, take any of the following actions in response to a violation:

• issue a written notice;
• delay or cancel pending orders;
• suspend the wholesale account;
• terminate the wholesale account and refuse to accept future orders;
• withdraw any promotional support or marketing materials.

SFB alone determines whether a violation has occurred and what action to take. Decisions are final.

13. Termination

SFB may terminate or suspend a wholesale account at any time, with or without cause, with written notice. Outstanding balances become immediately due upon termination.

14. Limitation of liability

To the fullest extent permitted by law, SFB's total liability for any claim arising out of these Terms or the products sold is limited to the amount paid by you for the products giving rise to the claim. SFB is not liable for indirect, incidental, special, or consequential damages.

15. Modifications

SFB may update these Terms at any time. The updated version will be posted at /pages/wholesale-terms-and-conditions with a new "Last updated" date. Continued purchases after an update constitute acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Cherokee County, Georgia.
